OWNERSHIP: ITEM 4(A) AMOUNT BENEFICIALLY OWNED: As of the Date of Event, each of the Reporting Persons may be deemed to be the beneficial owner of 502,226 Shares. This number consists of (1) 462,226 Shares beneficially owned by the Reporting Persons, and (2) 40,000 Shares issuable upon exercise of certain warrants beneficially owned by the Reporting Persons. ITEM 4(B) PERCENT OF CLASS: As of the Date of Event, the number of Shares outstanding was 27,411,965 according to the Issuer's Quarterly Report on Form 10-Q for the quarter ended September 30, 2005 filed on November 9, 2005 (the "Quarterly Report"). As of the Date of Event, each of the Reporting Persons may be deemed to be the beneficial owner of approximately 1.83% of the total number of Shares outstanding. This percentage was calculated by dividing (i) (A) the total amount of Shares beneficially owned by the Reporting Persons, plus (B) the total amount of Shares issuable upon exercise of certain warrants beneficially owned by the Reporting Persons, by (ii) (x) the total number of Shares outstanding as reported by the Issuer in the Quarterly Report, plus (y) the total amount of Shares issuable upon exercise of certain warrants beneficially owned by the Reporting Persons.
