(1) | (i) 201,478 time-based restricted stock units (RSUs) vest in two equal annual installments on December 30, 2019 and December 30, 2020, and (ii) 268,637 RSUs vest as to 100% of the underlying shares on December 30, 2021, provided that the vesting of the RSUs shall be subject to acceleration based on the achievement of specified Company and/or individual performance criteria to be approved by the Company's compensation committee. All RSUs granted shall settle in shares of common stock on each of the dates indicated. |
