Item 5. Other Events and Required FD Disclosure
On January 2, 2003, Mack-Cali Realty Corporation (the "Registrant") issued 168,000 shares of restricted common stock to its five executive officers (Mitchell E. Hersh, Timothy M. Jones, Barry Lefkowitz, Roger W. Thomas and Michael Grossman) pursuant to the Registrant's Employee Stock Option Plan originally effective as of August 31, 1994, and amended and restated on December 1, 1998, and entered into certain other agreements in connection therewith, as well as certain agreements amending the terms of the restricted share award agreements with such executive officers originally entered into in 1999 and 2001.
In connection with the foregoing, the Registrant hereby files the following documents:
