ITEM 5.02.
DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.

On February 26, 2008, the Executive Compensation and Human Resources Committee of our Board of Directors approved a base salary increase and a performance incentive award for James R. Tobin, our Chief Executive Officer.  Mr. Tobin’s base salary for 2008 was increased to $994,000, an increase of $29,000 from his 2007 base salary.  His performance award pursuant to our 2007 Performance Incentive Plan was $710,867, or 75% of his award opportunity, and his performance award opportunity for 2008 has been increased from 100% to 120% of his base salary.
