Item 2.02. Results of Operations and Financial Condition

 

On January 20, 2006, Mothers Work, Inc. (the “Company”) issued a press release announcing that it will delay its first quarter Fiscal 2006 earnings release and conference call. In the release, the Company also announced that, excluding the impact of non-cash stock-based compensation expense, it projects that first quarter Fiscal 2006 earnings will exceed the Company’s previous guidance. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
