Item 8.01 Other Events.
On August 15, 2006, Ron Zwanziger, our Chairman, Chief Executive Officer and President, paid the Company $11,197,096.12 in full satisfaction of his obligations to the Company, including principal and accrued interest, under a previously disclosed, five-year promissory note dated August 16, 2001. The promissory note was provided to the Company by Mr. Zwanziger in connection with his purchase of 1,168,191 shares of the Companys common stock in August, 2001.
