PART III — NARRATIVE

 

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

Without unreasonable effort or expense, the Company is not able to complete its financial statement disclosures to be included in its Quarterly Report on Form 10-Q for the fiscal quarter ended October 1, 2011. The Company defaulted on the Fixed Charge Coverage Ratio covenant contained in its Revolving Credit and Term Loan Agreement for the period ended October 1, 2011. The Company is in the process of obtaining a Restated and Amended Agreement from its senior lender which will include a waiver with respect to such default. The Restated and Amended Agreement will also increase the maximum amount available under the Revolving Credit facility and extend the maturity date of the Credit Facility as well as modify other amounts, terms and conditions. The Company expects to file the Form 10-Q within the five calendar day extension period granted by Rule 12b-25(b).

Consolidated sales from continuing operations for the third fiscal quarter of 2011 were $25,501,000 compared to $29,142,000 for the third fiscal quarter of 2010. The lower sales were primarily due to the continuing general economic downturn and depressed construction market notably along the Southern Front Range of Colorado. The pre-tax loss from continuing operations for the third fiscal quarter of 2011 was $555,000 compared to the pre-tax profit of $788,000 reported for the third fiscal quarter of 2010.
