Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

South Jersey Industries, Inc.’s (the “Company”) Executive Vice President, Stephen H. Clark, accepted the Early Retirement Incentive Program (“ERIP”) offered by the Company and retired effective as of the close of business on February 28, 2019. Mr. Clark also retired from his position as President and Chief Operating Officer of South Jersey Energy Solutions, LLC and SJI Midstream, LLC, both wholly-owned subsidiaries of the Company. Mr. Clark has served in various leadership and strategy roles since joining the Company in 1997.

The ERIP was offered to non-union, non-Officer employees over the age of 55 years old with 20 or more years of service to the Company as well as to Officers over the age of 55 years old with 5 or more years of service to the Company.
