This Current Report on Form 8-K and the exhibit attached hereto are being furnished by New York Mortgage Trust, Inc. (the “Company”) pursuant to Item 7.01 of Form 8-K in satisfaction of the public disclosure requirements of Regulation FD and Item 2.02 of Form 8-K, insofar as they disclose historical information regarding the Company’s results of operations or financial condition for the three months and year ended December 31, 2005.

On March 6, 2006, the Company issued a press release announcing its financial results for the three months and year ended December 31, 2005. A copy of the press release is furnished herewith as Exhibit 99.1 to this report on Form 8-K and is incorporated herein by reference.

On March 3, 2006, the Company’s Board of Directors declared a cash dividend of $0.14 per share on its common stock, par value $0.01 per share, for the quarter ending March 31, 2006, payable on April 26, 2006 to shareholders of record as of April 6, 2006.
