Item 8.01 Other Events.

On June 10, 2008, the Board of Directors of Oil-Dri Corporation of America (the “Registrant”) declared increased quarterly cash dividends of $0.14 per share (increased from $0.13 per share) of the Registrant’s Common Stock and $0.105 per share (increased from $.0975 per share) of the Registrant’s Class B Stock. The dividends will be payable on September 5, 2008, to stockholders of record at the close of business on August 22, 2008. A copy of the Registrant’s press release announcing these matters is attached as Exhibit 99.1 and the information contained therein is incorporated herein by reference.
