On March 4, 2009, U.S. Concrete, Inc. issued a press release announcing its fourth quarter and year-end 2008 financial results.  A copy of the press release is furnished as Exhibit 99.1 hereto, and the information contained in Exhibit 99.1 is incorporated herein by reference.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On March 3, 2009, Murray S. Simpson advised us that he has determined not to stand for re-election to the U.S. Concrete, Inc. Board of Directors, and will retire on the date of the Company’s 2009 annual meeting of stockholders, which is currently expected to be Wednesday, May 6.
