(1) Options exercised pursuant to Rule 10b5-1 trading plan adopted by the reporting person on May 2, 2012.
(2) Includes a total of 28,339 shares deferred pursuant to the terms of a deferred stock grant under Issuer's Amended and Restated Long Term Incentive Plan (the "Deferred Stock Grant"), including 249 deferred shares deemed acquired on June 15, 2012 pursuant to a dividend reinvestment feature under the Deferred Stock Grant. Under the terms of the Deferred Stock Grant, shares are distributable in stock at the end of the deferral period.
