Cathay General Bancorp (the “Registrant”) is unable to file its Annual Report on Form 10-K for the year ended December 31, 2004, within the prescribed time period because it is unable to finalize its Annual Report on Form 10-K and management’s assessment of internal controls over financial reporting in accordance with Section 404 of the Sarbanes-Oxley Act within the prescribed time period without unreasonable effort or expense. In addition, the processes undertaken by management for compliance with Section 404 of the Sarbanes-Oxley Act have taken longer to complete than expected. Registrant anticipates that it will be able to file its Annual Report (including matters related to Section 404 of the Sarbanes-Oxley Act) on Form 10-K by no later than fifteen calendar days following the prescribed due date for the Annual Report on Form 10-K for the year ended December 31, 2004.

Exhibit A

 

On October 20, 2003, Registrant merged with GBC Bancorp with the Registrant remaining as the surviving corporation. Accordingly, the financial results of the Registrant for 2003 reflected the combined financial results of the two companies after October 20, 2003. The Registrant issued a press release on January 26, 2005 announcing its financial results for the year ended December 31, 2004. That press release was filed as Exhibit 99.1 to the Form 8-K filed with the Securities and Exchange Commission on January 27, 2005.
