Item 4.01 Changes in Registrant’s Certifying Accountant

As previously announced, consistent with its philosophy that it is desirable to change auditors periodically, the Audit Committee of the Board of Directors of Sun Hydraulics Corporation (the “Registrant”) determined to change auditors following completion of the audit of the Registrant’s 2005 consolidated financial statements. On July 25, 2006, the Audit Committee engaged Kirkland, Russ, Murphy & Tapp, P.A. to audit the Registrant’s consolidated financial statements for the year ended December 30, 2006.

The Registrant has not consulted Kirkland, Russ, Murphy & Tapp, P.A. during the two most recent fiscal years, or the interim period between December 31, 2005, and June 14, 2006 (the date of dismissal of the Registrant’s prior independent auditors), regarding the application of accounting principles to a specified transaction, either completed or proposed, or the type of audit opinion that might be rendered on its financial statements or any matter that was subject to any disagreement or reportable event under Item 304(a)(1) of Regulation S-K.
