On November 30, 2007, we entered into a transaction pursuant to which we issued 239,847 shares of our Common Stock and received, in exchange, 3,173,440 shares of common stock of our Spacelabs Healthcare, Inc. subsidiary. Spacelabs Healthcare trades under the ticker symbol “SLAB” on the AIM (formerly known as the Alternative Investment Market), a stock market administered by the London Stock Exchange.
We issued the shares to non-U.S. persons (as that term is defined in Regulation S of the Securities Act of 1933) in an offshore transaction relying on Regulation S and/or Section 4(2) of the Securities Act of 1933, as amended.
In connection with this transaction we increased our ownership in Spacelabs Healthcare from approximately 84% to approximately 89%.
