Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Effective January 20, 2009, Matthew G. Waschull, currently Executive Vice President – Wealth Management Division of The Bryn Mawr Trust Company (the “Bank”) and President and Chief Operating Officer of The Bryn Mawr Trust Company of Delaware (“BMT Delaware”), wholly owned subsidiaries of Bryn Mawr Bank Corporation (the “Corporation”), will begin performing his duties with BMT Delaware on a full time basis. Mr. Waschull will continue as an Executive Vice President of the Bank. Effective January 20, 2009, Francis J. Leto, currently a director of the Corporation and the Bank, will become an Executive Vice President of the Bank and the acting head of the Wealth Management Division.
