Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On February 12, 2009, Leon Panetta was confirmed by the United States Senate as the head of the United States Central Intelligence Agency, and as a result he concurrently resigned from the Board of Directors (the “Board”) of Corinthian Colleges, Inc. (“Corinthian”). Mr. Panetta had previously submitted a letter of resignation to Jack Massimino, Corinthian’s Chairman of the Board, conditioned upon Mr. Panetta’s confirmation by the Senate.
