At a meeting held on May 21, 2009, Registrant’s Board of Directors elected Ursula M. Burns, Registrant’s current President, to the position of Chief Executive Officer effective July 1, 2009. Anne M. Mulcahy, Registrant’s current Chairman of the Board and Chief Executive Officer, will remain Chairman of the Board. A copy of the press release on this topic is attached hereto as Exhibit 99.
