ITEM 8.01 - OTHER EVENTS

On November 24, 2009, the Board of Directors of Environmental Power Corporation (the “Company”) fixed December 29, 2009, as the date for the Company’s 2009 Annual Meeting of Stockholders (the “2009 Annual Meeting”).

The Company currently expects to begin printing its proxy materials on or about November 25, 2009. Stockholder proposals should therefore be received by the Company no later than November 25, 2009, in order not to be considered untimely.
