(e) On December 9, 2009, at the Annual Meeting of Stockholders of ModusLink Global Solutions, Inc. (the “Company”), the Company’s stockholders approved an amendment (the “Amendment”) to the Company’s Amended and Restated 1995 Employee Stock Purchase Plan (the “ESPP”) to increase the number of shares of common stock reserved under the ESPP by 300,000 shares, from 300,000 shares to 600,000 shares.

A more complete description of the terms of the ESPP and the material amendments and modifications thereto can be found in “Proposal No. 2 – Approval of Amendment to the Amended and Restated 1995 Employee Stock Purchase Plan” (pages 12 through 14) in the Company’s definitive proxy statement filed with the Securities and Exchange Commission on October 23, 2009, which is incorporated herein by reference.
