Item 8.01

Other Events.

On September 8, 2010, Nighthawk Radiology Holdings Inc. (the “Company”) settled the interest rate swap contracts it had entered into in connection with its term loan borrowings under its credit agreement. As a result of the settlement of these transactions, the Company paid the counterparties to such interest rate swap contracts an aggregate of $4.9 million.
