Item 2.03 Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On March 20, 2012, NewStar Financial, Inc. (the “Company”) borrowed the remaining $37,400,000 available for borrowing under the term loan facility it has with Fortress Credit Corp. As previously reported in the Company’s Form 8-K filed on January 31, 2012, the size of the term loan facility was increased to $100,000,000 in connection with an amendment entered into on January 27, 2012. After giving effect to this borrowing, the term loan facility has been fully funded and the Company’s outstanding balance was $100,000,000 as of March 20, 2012.
