Stockholder Meeting Notice
American Capital Agency Corp.s 2012 Annual Meeting of Stockholders will be held on Tuesday, May 1, 2012 at the Hyatt Regency Bethesda, 7400 Wisconsin Avenue, Bethesda, Maryland 20814, at 10:00 a.m. Eastern Time.
Proposals to be voted on at the meeting are listed below along with the Board of Directors recommendations. The Board of Directors recommends that you vote FOR all the nominees listed and FOR Proposals 2, 3 and 4.
1. Election of Directors: 01Robert M. Couch, 02Morris A. Davis, 03Randy E. Dobbs, 04Larry K. Harvey, 05Alvin N. Puryear,

2. To approve an amendment to our Amended and Restated Certificate of Incorporation to increase the total authorized shares of common stock from 300,000,000 to 600,000,000.
3. To approve an amendment to our Amended and Restated Certificate of Incorporation to increase the total authorized shares of preferred stock from 10,000,000 to 50,000,000.
4. Ratification of appointment of Ernst & Young LLP as our independent public accountant for the year ending December 31, 2012.
