Other Events.

On November 2, 2015, REA Group Limited (“REA Group”) announced that it has agreed to acquire 100% of the share capital of iProperty Group Limited (“iProperty”) it does not already own by way of a scheme of arrangement. The transaction is subject to a number of standard conditions, including iProperty shareholder and court approval, no material adverse change and no prescribed occurrences. News Corporation owns a 61.6% interest in REA Group. A copy of REA Group’s press release is attached as Exhibit 99.1 to this Form 8-K and incorporated herein by reference.
