Earlier today we issued a press release announcing that ADT has signed a definitive agreement to merge our business with Protection 1, under the ownership of Apollo Global Management (“Apollo”). You will be seeing and hearing more about this transaction in the media over the next few days, and I wanted to share some of my thoughts on the transaction and the benefits of merging these businesses.

I am very excited about the merger of these great businesses. By combining ADT and Protection 1, we will be able to accelerate the implementation of several of our key business strategies. In addition, as these companies come together under the ADT brand, the combined business will be even better positioned to compete and serve our customers in a very fragmented and highly competitive market that is attracting new entrants every day.

Our dealer channel continues to be an important growth channel for ADT, and we have benefited from this dual channel approach to the market. We expect to continue to invest in this channel moving forward, in support of our strategy to increase market penetration and pursue profitable growth.

The transaction is subject to regulatory reviews and approval by ADT’s shareholders, and we are targeting to close the transaction in June of this year. During this period, we remain separate companies and will continue to compete in the marketplace. We will be distributing a set of “Rules of the Road” for you to distribute to your Sales teams later today.

This transaction provides us with an exciting opportunity to bring together two premier companies in the security and automation industry to deliver great products and services to our customers.
