Item 8.01 Other Events

On April 4, 2016, CenterPoint Energy, Inc. (the “Company”), in connection with the replacement of its $1.2 billion unsecured revolving credit facility with a new $1.6 billion facility, increased the size of its commercial paper program to permit the issuance of commercial paper notes in an aggregate principal amount not to exceed $1.6 billion at any time outstanding. Prior to this increase, the commercial paper program permitted the Company to issue commercial paper notes in an aggregate principal amount not to exceed $1 billion at any time outstanding. The size of CenterPoint Energy Resources Corp.’s commercial paper program will remain at $600 million.

The commercial paper notes have not been and will not be registered under the Securities Act of 1933, as amended, and may not be offered or sold absent registration or an applicable exemption from such registration requirements. The information contained in this Current Report on Form 8-K shall not constitute an offer to sell or the solicitation of an offer to buy notes under the Company’s commercial paper program.
