OF CERTAIN OFFICERS On June 23, 2008, acting upon the recommendations of the
Audit Committee and the Corporate Governance Committee, the Board of Directors
of the Company adopted the following changes:
Steven R. Bromley, President and
Chief Executive Officer, will transition out of that role no later than the
end of 2008. In addition, Mr. Bromley will not stand for reelection to the
board of directors at the annual shareholder meeting in 2009.
