(1)	Dr. Crawford received 437 shares of Restricted Stock granted as an annual retainer pursuant to ITT Industries, Inc. 2003 Equity Incentive Plan on December 1, 2005. The December 1, 2005 grant was based on the closing price of ITT Industries Common Stock on 5/10/2005, the date of the Company's 2005 Annual Meeting. This results in direct stock ownership of 12,094 shares which have been granted as an annual retainer pursuant to the 1996 Restricted Stock Plan or the 2003 Equity Incentive Plan. Dr. Crawford also owns 778 shares directly through the ITT Industries Direct Purchase, Sale and Dividend Plan reflecting accumulations through 11/30/2005. Dr. Crawford also owns 750 shares directly.
