(1) As permitted pursuant to the terms of the 2003 Non-Employee Directors' Stock Option Plan, the reporting person delivered these securities to the Issuer in order to pay for the exercise of options reported on Tables I and II. The securities were valued at the average between the closing high ($28.06) and low ($26.76) sales prices for the Issuer's stock on July 27, 2009, the date on which the reporting person exercised the options
