ITEM 5.02 DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS.
On May 10, 2006, Paul Rothman resigned as President of the Company. Such resignations was not due to any disagreement with the Company on any matter relating to the Companys operations, policies or practice. Simultaneous with this resignation, John Treglia, the current Chief Executive Officer and Chief Financial Officer was appointed as the President of the Company.
