On March 7, 2007, WNS issued a press release announcing the execution of a
letter of intent relating to a potential acquisition.  A copy of the press
release is attached hereto as Exhibit 1 and is incorporated herein by
reference.

In addition to the potential acquisition described in the foregoing release,
WNS continues to explore additional acquisition opportunities, and is
currently in negotiations with respect to another possible acquisition
involving a total purchase price of approximately US$ 20-25 million.  No
assurance can be given that definitive documents will be executed with respect
to this other
potential acquisition or that it will be completed.
