Item 8.01.    Other Events
On February 28, 2011, the board of directors of Wells Timberland REIT, Inc. (the "Registrant") declared a stock dividend for the second quarter of 2011 in the amount of 0.000054348 shares per day per share on the outstanding shares of its common stock to the stockholders of record of such shares as shown on the books of the Registrant at the close of business on each day during the period commencing on March 16, 2011 and continuing through and including June 15, 2011. This stock dividend, calculated on a daily, non-compounding basis throughout the period, would annualize to a 2% rate. This dividend is to be paid on a date during the month of June 2011 as the President of the Registrant may determine.
