PART III - NARRATIVE
 
State below in reasonable detail why forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, or the transition report or portion thereof, could not be filed within the prescribed time period.
 
The Registrant  is not able to file its Annual Report on Form 10-K for the year ended August 31, 2011 on or prior to November 29, 2011 because the Registrant requires additional time to gather the information required to be included in the Form 10-K which is the result of the implementation of a new Enterprise Resource Planning  ("ERP") system and the acquisition of GNUCO, LLC d/b/a Emerging Solutions, LLC  by the Registant during the quarter ended August 31, 2011.  As a result, the Registrant is unable to file its Form 10-K on a timely basis without unreasonable effort and expense. The Registrant’s Annual Report on Form 10-K will be filed on or before the 15th calendar day following the prescribed due date.
