Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On November 16, 2015, Citizens, Inc. (“Citizens”) appointed David S. Jorgensen, age 51, as its Vice President, Treasurer and Chief Financial Officer. Mr. Jorgensen succeeded Kay Osbourn, who currently remains with Citizens as its President and Chief Corporate Officer, a position she has held since June 2015. Prior to his appointment with Citizens, Mr. Jorgensen served as Senior Vice President, Controller AIG Life and Retirement and has extensive experience in the insurance industry.

Citizens does not have a material employment agreement with Mr. Jorgensen.
