(1) | Restricted shares granted under the NIKE, Inc. 1990 Stock Incentive Plan. The restrictions lapse with respect to one-third of the shares on each of the first three anniversaries of the grant date. Upon termination of employment any shares as to which the restrictions have not expired shall be forfeited to the corporation for cancellation; provided that if before the restrictions on the shares have expired the corporation terminates employee without cause, or if employee teriminates his employment for good reason, then the restrictions on all of the shares shall expire. |
(2) | Option granted for 200,000 shares on 12/28/2004 and becomes exercisable with respect to one-third of the shares on each of the first three anniversaries of the date of the grant; provided that if the corporation terminates employee without cause, or if employee teriminates his employment for good reason, then upon such termination any unvested shares shall immediately vest and the option shall expire on the earlier of three years after the date of termination or at the end of the ten-year term of the option. |
