Other Events

On June 1, 2006, Federated Department Stores, Inc. ("Federated") announced it has elected to redeem $200 million of the principal amount of its 8.30% Debentures Due July 15, 2026 at a price of 104.15% of the principal amount. The redemption will be effective July 17, 2006. A copy of the press release announcing the election to redeem is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
