Amended and Restated Employee Stock Option Plan that the Registrant has assumed pursuant to the Pre-Merger Agreement dated May 8, 2002 between the Registrant, Dynacare Inc. and 3065619 Nova Scotia Company, a wholly-owned subsidiary of the Registrant, pursuant to which Dynacare Inc. became an indirect wholly-owned subsidiary of the Registrant effective July 25, 2002.
