(b) On February 24, 2015, W.R. Carey, Jr. informed Kforce Inc. (the "Firm") of his decision to retire from the Board of Directors and therefore not to stand for re-election at the Firm's upcoming annual meeting to be held on April 21, 2015. Mr. Carey will continue to serve the remainder of his term which ends on the date of such meeting.
