Item 2.03 – Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant 

Pursuant to the offering previously described in the Company’s Current Report on Form 8-K, filed with the Commission on May 26, 2005, $70,000 of subordinated corporate notes were issued on July 7-12, 2005, to one sophisticated non-accredited investor and two accredited investors. 

These securities have not been registered under the Securities Act of 1933, as amended (the “Act”), and will be offered and sold in reliance on exemptions from the registration of the Act provided by Section 4(2) of the Act and Rule 505 of Regulation D and exemptions available for intrastate offerings.
