On April 20, 2007, the Company’s Board of Directors approved the terms of a Memorandum of
Understanding which proposes a settlement, subject to court approval, regarding the Wisconsin
indirect purchaser action. For further information regarding this matter refer to the April 26,
2007 press release, which is attached hereto as Exhibit 99.1 and incorporated herein by reference.
