This registration of 500,000 shares of Common Stock will increase the number of shares registered for issuance under the Plan to an aggregate of 1,073,133 shares of Common Stock, subject to adjustment as provided in the Plan. On May 20, 2002, the Board of Directors of the Company approved and declared a two-for-one stock split effected in the form of a 100% stock dividend on the Common Stock, payable June 28, 2002 to shareholders of record on June 7, 2002 (the "Stock Dividend"). Each stockholder of record on June 7, 2002 will receive one additional share of Common Stock for each share held on the record date.
