Item 2.02 Results of Operations and Financial Condition.
On January 11, 2007, the Registrant issued a press release regarding its preliminary financial
results for the fourth fiscal quarter of 2006 ended December 31, 2006. A copy of the press release
is attached hereto as Exhibit 99.1. The information in this Item 2.02, including Exhibit 99.1, is
furnished and shall not be deemed “filed” for the purposes of Section 18 of the Securities Exchange
Act of 1934, as amended, or otherwise subject to the liabilities under that Section and shall not

As previously announced, John Kibarian, CEO of the Registrant, and Keith Jones, CFO of the
Registrant, will host a live teleconference on Tuesday, February 6, 2007, beginning at 3:00 p.m.
Pacific Time to discuss the final results for the fourth quarter and full year ended December 31,
2006, as well as provide updated guidance for the fiscal year ending December 31, 2007. An archive
of the call and the webcast will be available on the Registrant’s website (www.pdf.com) until
Tuesday, March 6, 2007 at 11:59 p.m. Pacific Time.
