     On April 29, 2008, the Company issued a press release announcing the Company’s earnings for the quarter ended March 31, 2008. A copy of the press release is furnished as Exhibit 99.1 of this report.

Item 7.01 Regulation FD Disclosure.

     On April 29, 2008, Kenneth R. Dubuque, President and Chief Executive Officer and Ronald D. Murff, Chief Financial Officer, of Guaranty Financial Group Inc., participated in a conference call discussing the Company’s earnings for the quarter ended March 31, 2008. Copies of the presentation materials used by Messrs. Dubuque and Murff are furnished as exhibit 99.2 to this report.
