This Tender Offer Statement on Schedule TO relates to an offer (the “Offer”) by PDF to eligible option holders to exchange certain outstanding eligible options to purchase shares of PDF common stock, par value $0.00015 per share (“Common Stock”), for restricted stock rights that will be granted under the PDF Solutions, Inc. 2001 Stock Plan (the “2001 Plan”) upon the terms and subject to the conditions set forth in the Offer to Exchange. As of June 5, 2008, options to purchase approximately 4,551,711 shares of PDF common stock were eligible for exchange in the Offer.
