(1) | On September 21, 2007, General Atlantic Partners, 82, L.P. ("GAP 82") distributed shares of Class A common stock of the issuer to a limited partner of GAP 82, pro rata and without the payment of consideration. Such shares were contributed by the limited partner to GAP-W, LLC ("GAP-W"). |
(2) | Represents 3,307,917 shares owned by GAP 82, 958,161 shares owned by GAP-W, 360,054 shares owned by GAP Coinvestments III, LLC ("GAPCO III") and 61,368 shares owned by GAP Coinvestments IV, LLC ("GAPCO IV"). General Atlantic LLC ("GA LLC") is the general partner of GAP 82 and the manager of GAP-W. The Managing Directors of GAPCO III and GAPCO IV are Managing Members of GAPCO III and GAPCO IV. Mr. Denning is Chairman and a Managing Director of GA LLC and a Managing Member of each of GAPCO III and GAPCO IV, and disclaims beneficial ownership of such shares except to the extent of his pecuniary interest therein. |
