As of March 14, 2003, 4,489,821 shares of Common Stock were outstanding. The aggregate market value of the Common Stock held by non-affiliates of the registrant on June 28, 2002 was $8,659,417 (computed using the closing price of the Common Stock on June 28, 2002 as reported by the American Stock Exchange).

EXPLANATORY NOTE
Intelligent Systems Corporation (the Company) is filing this Form 10-K/A solely to correct an error in Exhibit 23.1 (Consent of BDO Seidman, LLP) included in the Companys Form 10-K for the year ended December 31, 2002 which was filed with the Securities and Exchange Commission on April 1, 2003. The originally filed Exhibit 23.1 contained an incorrect reference to the date of the auditors opinion that has been corrected in the Exhibit 23.1 filed herewith. There are no other changes to the Form 10-K filed by the Company on April 1, 2003.
