Item 1.01. Entry into a Material Definitive Agreement.
On December 15, 2004, CRT Properties, Inc. entered into an underwriting agreement with Morgan Stanley & Co. Incorporated, as representative of the several underwriters named in the agreement (the Underwriters), relating to the sale of the Companys common shares, value $0.01 per share. Pursuant to the underwriting agreement, the Company agreed to sell 4,350,000 common shares to the Underwriters at a price of $23.78 per share. The common shares will be resold by the Underwriters from time to time in negotiated transactions or otherwise beginning immediately following the effective time of the underwriting agreement. The common stock will be issued pursuant to an effective shelf registration statement previously filed with the Securities and Exchange Commission, as well as a prospectus supplement relating to the offering. The offering is expected to close on December 21, 2004. Pursuant to the underwriting agreement, the Company has also granted the Underwriters an option to purchase an additional 435,000 shares to cover over-allotments. This summary description of the underwriting agreement is qualified in its entirety by reference to the full text of the agreement, which is attached hereto as Exhibit 1.1 and by this reference made a part hereof.
Item 7.01. Regulation FD Disclosure.
On December 15, 2004, CRT Properties, Inc. announced today that it had entered into an agreement to sell 4,350,000 shares of common stock pursuant to an underwriting agreement between the Company and Morgan Stanley & Co. Incorporated, as more particularly described in the Companys News Release dated December 15, 2004, a copy of which is attached hereto as Exhibit 99.1 and by this reference made a part hereof.
