Item 8.01. Other Events.
     On March 2, 2006, Metretek Technologies, Inc., a Delaware corporation (the “Company”), issued a press release announcing that PowerSecure, Inc., a Delaware corporation and wholly-owned subsidiary of the Company, had received verbal orders from a large commercial customer for distributed generation projects that are anticipated to generate revenues in excess of $75 million in the aggregate during 2006 and 2007. A copy of the Company’s press release is attached hereto as Exhibit 99.1 and incorporated herein by this reference.
