Item 1.01   Entry into a Material Definitive Agreement
On June 27, 2006, the Organization and Compensation Committee of the Board of Directors approved the base salary increase of James L. Hambrick and Charles P. Cooley, each of whom is an executive officer named in the Summary Compensation Table of The Lubrizol Corporation’s 2006 Proxy Statement. The new annual base salary for each is effective October 6, 2006. Mr. Hambrick and Mr. Cooley were informed of their respective increases on September 27, 2006.
