This Tender Offer Statement on Schedule TO relates solely to preliminary communications made before the commencement of a planned tender offer by Roscoe Acquisition Corp., a Delaware corporation (“Merger Sub”) and a wholly-owned subsidiary of AmerisourceBergen Corporation, a Delaware corporation (the “Company”), for all of the outstanding shares of common stock of MWI Veterinary Supply, Inc., a Delaware corporation (“MWI”), to be commenced pursuant to the Agreement and Plan of Merger, dated as of January 11, 2015, by and among the Company, Merger Sub and MWI.
The tender offer referred to in this filing has not yet commenced.
